Terms of Service

'The Company' refers to Berlin Growth Partners GmbH. 'The Client' refers to the individual or organization engaging the services of the Company. 'Services' refer to the strategic consulting services provided by the Company as outlined in a specific Scope of Work agreement.

2. Services

The Company agrees to provide strategic consulting services as mutually agreed upon and documented in a formal Scope of Work. The Company will perform these services with a reasonable standard of skill and care. Any timelines provided are good-faith estimates, and the Company shall not be liable for delays outside of its reasonable control.

3. Client Obligations

The Client agrees to provide the Company with timely access to necessary information, data, and personnel required to perform the Services. The Client is responsible for the accuracy of all information provided. The Client agrees to make timely payments for all fees as specified in the agreement.

4. Fees and Payments

Fees for Services will be set out in the Scope of Work. Unless otherwise specified, invoices are payable within 30 days of receipt. Late payments may be subject to interest charges. All fees are exclusive of applicable taxes.

5. Confidentiality

Both parties agree to keep confidential all information received from the other party that is marked as confidential or would reasonably be considered confidential. This obligation extends beyond the termination of the service agreement.

6. Limitation of Liability

The Company's liability for any claim arising out of this agreement shall be limited to the total fees paid by the Client to the Company under the applicable Scope of Work. The Company is not liable for any indirect, special, or consequential damages.

7. Final Provisions

This agreement is governed by the laws of the Federal Republic of Germany. Any disputes arising from this agreement shall be resolved in the courts of Berlin, Germany. The Company reserves the right to update these terms at any time.
